Terms & Conditions

These terms govern your access to and use of OctaviaFlow. Please read them carefully. By creating an account or using the platform, you agree to be bound by these terms.

01Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (individually or on behalf of an organization, “you” or “Customer”) and OctaviaFlow, Inc. (“OctaviaFlow”, “we”, “us”, or “our”) governing your access to and use of the OctaviaFlow platform, including all associated services, APIs, documentation, and software (collectively, the “Service”).

By clicking “I Agree”, creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

If you do not agree to these Terms, do not create an account or use the Service. Access to the Service is conditioned on acceptance of these Terms. Continued use of the Service after any updates to these Terms constitutes your acceptance of the updated Terms.

02Definitions

For the purposes of these Terms, the following definitions apply:

  • “Service” — The OctaviaFlow AI-native data integration and workflow automation platform, accessible at *.octaviaflow.com, including all features, APIs, connectors, and documentation.
  • “Customer Data” — Data, content, and information that you submit, upload, or cause to flow through the Service in the course of using OctaviaFlow, including but not limited to database records, workflow configurations, and API responses from third-party connectors.
  • “Execution” — A single run of a workflow or data pipeline, regardless of the number of steps, tasks, or records processed within that run.
  • “Connector” — A pre-built integration that allows the Service to connect to a third-party application, database, or service.
  • “Subscription Plan” — The pricing tier (Free, Founding Member, or Enterprise) to which you are subscribed, as described on our pricing page.
  • “User” — Any individual authorized by you to access the Service under your account.
  • “AI Features” — Features powered by artificial intelligence, including but not limited to: natural language workflow creation, smart data mapping, cost optimizer, auto-healing, predictive alerts, and natural language analytics.
  • “Self-Hosted Deployment” — A deployment of the OctaviaFlow software on your own infrastructure, available on Enterprise plans.

03Account Registration

Eligibility

To use the Service, you must be at least 18 years of age and capable of forming a binding contract. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials (username and password)
  • All activity that occurs under your account, whether authorized by you or not
  • Notifying us immediately at security@octaviaflow.com of any unauthorized access to or use of your account
  • Ensuring that all Users on your account comply with these Terms

We strongly recommend enabling two-factor authentication (2FA) on your account. OctaviaFlow will never ask for your password via email, phone, or chat.

Accurate Information

You agree to provide accurate, current, and complete information when registering your account and to keep that information updated. We reserve the right to suspend or terminate accounts that contain false, inaccurate, or misleading information.

04Platform Access & Use

License Grant

Subject to your compliance with these Terms and timely payment of any applicable fees, OctaviaFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes during the subscription term.

Access Limits

Your use of the Service is subject to the limits of your Subscription Plan, including:

  • Execution limits: The number of workflow executions per month (2,000 on Free; 30,000 on Founding Member; custom on Enterprise)
  • Workflow limits: The number of active workflows (3 on Free; unlimited on Founding Member and Enterprise)
  • Connector access: All standard connectors on Free; all connectors including premium on Founding Member and Enterprise
  • API rate limits: API calls are subject to rate limits to ensure platform stability for all users

Overage Policy

If you exceed your monthly execution limit, your workflows will continue to run and overages will be billed at the per-execution rate applicable to your plan, as displayed in your account dashboard. We will never unilaterally stop your pipelines due to exceeding plan limits; we will notify you when you approach your limit.

Free Tier

The Free tier is provided as-is for evaluation and small-scale use. OctaviaFlow reserves the right to modify or discontinue Free tier features with 30 days' notice. Free tier accounts that are inactive for more than 90 consecutive days may be subject to deletion after notification.

05Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

Prohibited Activities

  • Violate any applicable local, national, or international law or regulation
  • Process, transmit, or store data in violation of any individual's privacy rights or applicable data protection law
  • Engage in unauthorized data scraping, mining, or harvesting of third-party services through OctaviaFlow connectors
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
  • Use the Service to build a competing product or service, or to benchmark the Service for publication without our prior written consent
  • Circumvent, disable, or interfere with security-related features of the Service, including rate limiting and access controls
  • Introduce malware, viruses, trojan horses, ransomware, or any other malicious code into the Service
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or OctaviaFlow's infrastructure
  • Use the Service to send unsolicited bulk communications (spam)
  • Process data in a way that violates the terms of service of any connected third-party application
  • Sublicense, resell, or transfer access to the Service without our prior written approval (except as permitted under a reseller agreement)

Enforcement

We reserve the right to investigate suspected violations of this Acceptable Use Policy and to take appropriate action, including suspension or termination of your account, removal of offending content, and referral to law enforcement authorities. We are not obligated to monitor the Service for violations but may do so.

06Subscriptions & Billing

Fees & Payment

Paid Subscription Plans are billed in advance on a monthly or annual basis, as selected at purchase. All fees are stated in US Dollars and are exclusive of applicable taxes. You authorize OctaviaFlow (through our payment processor, Stripe) to charge your designated payment method on the billing date.

Price Changes

We may change Subscription Plan prices at any time. For existing subscribers, price changes take effect at the start of the next billing cycle following at least 30 days' written notice. Your continued use of the Service after the price change becomes effective constitutes acceptance of the new price.

Free Trials

Paid plans include a 14-day free trial. No credit card is required to begin a trial. At the end of the trial period, you will be asked to provide payment information to continue. If you do not provide payment, your account will revert to the Free tier.

Refunds

All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you downgrade your plan mid-cycle, the difference will be applied as a credit toward future invoices and will not be refunded. If you believe you have been charged in error, contact us at billing@octaviaflow.com within 30 days of the charge.

Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities on your purchases. OctaviaFlow will collect and remit taxes as required by law and may add applicable taxes to your invoice.

Failed Payments

If a payment fails, we will attempt to retry the charge up to three times over seven days. If payment remains outstanding after that period, we reserve the right to suspend access to the Service until the outstanding balance is resolved.

07Customer Data

Your Ownership

You retain full ownership of all Customer Data. OctaviaFlow claims no ownership rights over your Customer Data. The fact that you use OctaviaFlow to process, store, or transmit data does not give OctaviaFlow any ownership or license in that data beyond what is needed to provide the Service.

License to OctaviaFlow

By using the Service, you grant OctaviaFlow a limited, non-exclusive, worldwide license to access, process, store, and transmit your Customer Data solely to: (a) provide the Service as configured by you; (b) monitor and ensure the performance, reliability, and security of the Service; and (c) comply with legal obligations. This license terminates when you delete the data or close your account.

Your Responsibilities

You are solely responsible for:

  • The accuracy, quality, and legality of Customer Data
  • Ensuring you have obtained all necessary rights, consents, and permissions to process Customer Data through OctaviaFlow
  • Ensuring that your use of the Service complies with applicable data protection and privacy laws (including GDPR, CCPA, and HIPAA where applicable)
  • Configuring appropriate access controls and permissions for your team
  • The connector credentials and API keys you store in OctaviaFlow; we recommend rotating credentials regularly

Data Processing Agreement (DPA)

If you are subject to GDPR or similar data protection regulations, you may require a Data Processing Agreement (DPA) with OctaviaFlow. Enterprise customers receive a DPA as part of their contract. Founding Member customers may request a DPA by contacting legal@octaviaflow.com.

08Intellectual Property

OctaviaFlow IP

The Service, including all software, algorithms, AI models, user interfaces, documentation, trademarks, logos, and all other intellectual property embodied therein, is and remains the exclusive property of OctaviaFlow, Inc. and its licensors. These Terms do not grant you any rights in OctaviaFlow's intellectual property except the limited license to use the Service described herein.

Feedback

If you submit feedback, suggestions, feature requests, or bug reports to OctaviaFlow (“Feedback”), you hereby grant OctaviaFlow a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into the Service without restriction and without any obligation to you. This does not affect your ownership of Customer Data.

Open Source

Certain components of the Service may be licensed under open-source licenses. Nothing in these Terms limits your rights under applicable open-source licenses for those components. A list of open-source dependencies is available in our documentation.

09AI Features

OctaviaFlow includes AI-powered features including natural language workflow creation, smart data mapping, cost optimization, auto-healing, predictive alerts, and natural language analytics. By using these features, you acknowledge and agree to the following:

  • AI outputs are not guaranteed: AI-generated workflows, field mappings, and recommendations are suggestions based on probabilistic models. You are responsible for reviewing and validating AI outputs before relying on them in production.
  • No professional advice: AI features do not constitute legal, financial, medical, or other professional advice. Do not use AI outputs as a substitute for professional judgment.
  • Schema data usage: To power smart data mapping and related features, anonymized schema metadata (field names, data types) may be processed by AI model providers under our data processing agreements. Raw Customer Data is not used to train external AI models without your explicit consent.
  • AI model improvement: We may use anonymized, aggregated usage patterns to improve our own AI models. We will never use your raw Customer Data for this purpose.
  • Auto-healing actions: The auto-healing feature may take automated actions on your behalf (e.g., refreshing OAuth tokens, adjusting retry intervals). You can disable auto-healing at any time in your workflow settings.

10Third-Party Connectors

The Service enables connections to 600+ third-party applications, databases, and services (“Third-Party Services”). Your use of any Third-Party Service through OctaviaFlow is also subject to the terms and conditions of that Third-Party Service. OctaviaFlow is not responsible for and does not endorse any Third-Party Service.

  • You are responsible for ensuring you have the right to connect to Third-Party Services and process data from them through OctaviaFlow
  • Changes to Third-Party Service APIs, authentication systems, or rate limits may affect OctaviaFlow connectors. We strive to update connectors promptly but cannot guarantee uninterrupted connectivity
  • Connector credentials (API keys, OAuth tokens) are stored encrypted and accessed only to execute your configured workflows
  • OctaviaFlow is not liable for any loss, damages, or disruption caused by changes to, outages of, or termination of Third-Party Services

11Uptime & Service Level Agreement

OctaviaFlow commits to the following uptime SLAs based on your Subscription Plan:

  • Free: No SLA — best-effort availability
  • Founding Member: 99.9% monthly uptime
  • Enterprise: 99.99% monthly uptime (custom SLA negotiated per contract)

Uptime is calculated as: ((total minutes in month – downtime minutes) / total minutes in month) × 100. Scheduled maintenance windows, third-party service outages, and incidents caused by Customer actions do not count as downtime.

If OctaviaFlow fails to meet the applicable SLA in any calendar month, your sole remedy is a service credit equal to the pro-rated value of the affected hours, applied to a future invoice. Service credits are not cash refunds. To request a service credit, contact support@octaviaflow.com within 15 days of the qualifying incident.

12Warranties & Disclaimers

OctaviaFlow warrants that: (a) it has the right to enter into these Terms; (b) the Service will perform materially as described in the documentation; and (c) it will implement reasonable security measures as described in our Security documentation.

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that the Service will meet your specific requirements or that AI-generated outputs will be accurate, complete, or suitable for your intended use.

13Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OCTAVIAFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OCTAVIAFLOW'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO OCTAVIAFLOW IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

The limitations in this section apply to all theories of liability, including contract, warranty, tort, negligence, strict liability, and statute, even if the limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, in which case the above limitations may not apply to you.

14Indemnification

You agree to defend, indemnify, and hold harmless OctaviaFlow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your Customer Data; (c) your use of the Service in violation of applicable law; (d) your violation of any third-party right, including any intellectual property right or privacy right; or (e) any claim that your Customer Data caused damage to a third party.

OctaviaFlow will notify you promptly of any such claim and cooperate with your defense at your expense. You may not settle any claim that imposes obligations on OctaviaFlow without our prior written consent.

15Termination

Termination by You

You may cancel your subscription at any time through your account settings or by contacting support@octaviaflow.com. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have paid. No refunds are issued for the remaining portion of a billing period.

Termination by OctaviaFlow

We reserve the right to suspend or terminate your account immediately and without prior notice if: (a) you materially breach these Terms and fail to cure such breach within 10 days of written notice; (b) you violate our Acceptable Use Policy; (c) you fail to pay any fees when due; (d) we are required to do so by law; or (e) we determine that continued provision of the Service creates a security risk or legal liability.

We may also terminate the Service entirely with 60 days' written notice, in which case we will provide a pro-rated refund for any prepaid fees covering the period after termination.

Effect of Termination

Upon termination: (a) your license to use the Service immediately ceases; (b) we will provide a 30-day window for you to export your workflow configurations and data; (c) after 30 days, we will delete your Customer Data in accordance with our data retention policy; and (d) any sections of these Terms that by their nature should survive termination shall survive (including intellectual property, limitation of liability, indemnification, and governing law).

16Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the seat of arbitration shall be Wilmington, Delaware. Each party shall bear its own arbitration costs, except as required by the AAA rules.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive any right to a jury trial.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

17Changes to Terms

We may modify these Terms at any time. When we make material changes, we will provide at least 30 days' advance notice by: (a) sending an email to the address associated with your account; and (b) posting a notice on our website and within the Platform.

If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

For Enterprise customers with a separately negotiated Master Service Agreement (MSA), the terms of that MSA will prevail over these Terms to the extent of any conflict.
